1. Acceptance of Terms

By accessing and using Kareroo, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Kareroo is an online tool that is built explicitely for Independent Support Providers operating in Australia and billing NDIS self-managed or plan-managed participants.

We allow these providers to manage their clients, invoices, shift notes, expenses and payments. At the time of writing, we are still in an early access phase and features are subject to rapid changes.

3. User Accounts

To access features of our service, you must register for an account and maintain an active subscription. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all risks of unauthorized access to your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the service to:

• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Upload, post, or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights
• Upload, post, or transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation
• Interfere with or disrupt the service or servers or networks connected to the service

5. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our service. By using our service, you agree to the collection and use of information in accordance with our Privacy Policy.

We implement appropriate security measures to protect your personal information. However, no method of transmission over the internet or electronic storage is 100% secure.

6. Payment Terms

If you choose to purchase a paid subscription:

• Subscription fees are billed in advance on a recurring basis, either monthly or annually
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing at any time
• Price changes will take effect for active subscriptions on the next renewal period
• Failure to pay fees may result in suspension or termination of your account

7. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Kareroo and its licensors. The service is protected by copyright, trademark, and other laws.

You maintain the rights to content you create and upload to the service. This includes things like; logos and branding, shift notes, invoices, and other information you provide as part of using Kareroo.

8. Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the service will cease immediately.

9. Account Deletion

If you choose to delete your account, your account, subscription, and all related information will be permanently deleted. This action is irreversible and cannot be undone.

In the event that your account is inactive (no active subscription) for a period of 6 months or more, your account can be deleted by us. This will permanently delete all data related to your account and cannot be undone. If you do not plan on renewing your subscription, make sure you back up your data.

10. Disclaimer of Warranties

The information on this service is provided on an "as is" basis.

Kareroo is a website, and as such, is vulnerable to down time due to unforeseen events. Kareroo is not liable for any loss or damage of any kind incurred as a result of the reliance on this service.

Kareroo may have downtime due to; server issues, database issues, scheduled maintenance, unscheduled maintenance or other unforeseen events. Your access may also be limited based on factors outside of our control, such as; your internet provider/connection, your devices (computer, phone, router, etc), or other unmentioned factors.

11. Limitation of Liability

In no event shall Kareroo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the service.

12. Governing Law

These Terms shall be interpreted and governed by the laws of Australia. You may have rights under consumer protection laws, or other relevant laws, restrictions within these terms cannot override these rights/laws.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
